Licensing

GaugeReel is a desktop application for Windows, macOS, and Linux that turns telemetry data into animated, broadcast-style data overlays you export as a transparent video layer. Subject to this agreement, GaugeReel grants you a personal, worldwide, non-exclusive, non-transferable license to install and use the app on devices you own or control.

• Free tier: install and use the app at no cost, with no watermark on your exports, within the feature set offered for the free tier.
• Paid (Pro) tier: an active paid license unlocks the additional features and entitlements described on the pricing page for the seats covered by your plan.

You may use the app for both personal and commercial projects. This agreement works together with our Terms of Service; if there is a conflict on a licensing matter, this agreement controls.

You own the overlays and videos you create and export with GaugeReel. GaugeReel claims no ownership of, and no license to, your exported output. You are free to use, edit, distribute, monetize, and otherwise commercially exploit your exports with no additional license fee, royalty, or attribution owed to GaugeReel.

• Publish and monetize them on YouTube or any other platform.
• Deliver them to clients as part of paid work.
• Composite them into broadcast, film, or commercial productions.

This applies to exports made on both the free and paid tiers. Your rights to content you have already exported survive any change or termination of your license. You remain responsible for the underlying source footage and telemetry data you bring to the app and for the rights to use it.

The free tier lets you install and use GaugeReel with watermark-free exports. A paid license adds the Pro entitlements listed on the pricing page for the duration and number of seats you purchase.

• Activation: paid licenses are tied to your GaugeReel account and managed through our licensing service. Sign in or activate your license from your account to unlock paid features on your devices.
• Seats: a paid license covers the number of seats or devices stated in your plan. Using it beyond those terms requires an additional license.
• Getting started: you can download the app and use the free tier first, then upgrade at any time.

Except as expressly permitted by this agreement or by applicable law, you may not:

• resell, rent, lease, lend, or otherwise redistribute the app or your license keys;
• reverse engineer, decompile, or disassemble the app, except to the limited extent applicable law expressly permits despite this restriction;
• sublicense, assign, or transfer your license to anyone else;
• remove, alter, or obscure any copyright, trademark, or other proprietary notices;
• circumvent, disable, or tamper with the app's licensing, activation, or tier limits, or any technical protection measures;
• share a single license beyond the seats or devices its plan allows, or pool licenses to exceed your entitlements.

These restrictions protect the software and brand only; they do not limit your rights to the content you export under Section 2.

GaugeReel and its licensors retain all right, title, and interest in and to the app, including its source code, design, user interface, the GaugeReel name and logo, and all related intellectual property. The app is licensed, not sold. No rights are granted to you except the license expressly described in this agreement, and GaugeReel reserves all rights not expressly granted.

The app may include third-party and open-source software components that are provided under their own license terms. Those terms govern your use of those components and, where they conflict with this agreement, control with respect to the components they cover. Where required, notices and applicable license texts for such components are included with the app or its documentation.

GaugeReel may provide updates, upgrades, patches, or new versions of the app from time to time. Unless an update is accompanied by separate terms, it is part of the app and covered by this agreement. If an update ships with new terms, those terms govern that update, and continuing to use the updated app means you accept them.

This license is effective until terminated. It remains in effect for as long as you comply with this agreement and, for paid features, for as long as your paid license or subscription is active. GaugeReel may suspend or terminate your license if you materially breach this agreement, and your license ends automatically if your paid plan lapses.

On termination, you must stop using the app and any paid features your plan no longer covers. To be clear, any content you have already exported remains yours and is unaffected by termination. Sections covering your exported content, ownership of the software, disclaimers, limitation of liability, and governing law survive termination.

The app is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. GaugeReel does not warrant that the app will be uninterrupted, error-free, or that it will meet your requirements, or that telemetry parsing or exports will be accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

To the maximum extent permitted by law, GaugeReel and its licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the app. To the maximum extent permitted by law, GaugeReel's total liability for all claims relating to the app will not exceed the amount you paid GaugeReel for the app in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

This agreement is governed by the laws of the State of New York and the applicable federal laws of the United States, without regard to its conflict-of-laws rules. The courts located in New York will have jurisdiction over any disputes arising under this agreement, except where applicable law provides otherwise.
