Terms of Service

These Terms of Service govern your use of GaugeReel — our desktop application, this website, and the account and licensing service that supports them. Please read them carefully, as they set out your rights and responsibilities when you use GaugeReel.

1. Acceptance of these terms

These Terms of Service (the "Terms") are a binding agreement between you and GaugeReel ("GaugeReel", "we", "us", or "our"). By downloading, installing, or using the GaugeReel desktop application, by accessing https://gaugereel.net, or by creating an account, you agree to be bound by these Terms. If you do not agree, do not use the service.

Your continued use of GaugeReel after any change to these Terms means you accept the updated Terms. You must be at least 18 years old, or the age of majority in your jurisdiction if that is greater, and able to form a binding contract, to use GaugeReel. If you use the service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

2. The service

GaugeReel provides:

  • a desktop application (built with Tauri, available for Windows, macOS, and Linux) that turns your sports and action telemetry — such as GPX tracks, Garmin FIT files, and GoPro, DJI, and Insta360 camera metadata — into animated, broadcast-style data overlays (speed, GPS, power, and similar) and exports them as a transparent (alpha) video layer you composite in your own editor, such as Premiere, DaVinci Resolve, or Final Cut;
  • this website, where you can learn about the product, download the app, and review our documentation; and
  • an account and licensing service that manages sign-up, sign-in, and paid licenses, including the free and Pro tiers described on our pricing page.

GaugeReel is provided "as is". We are actively developing the product and may add, change, suspend, or remove features at any time. We may also impose or adjust limits on the free and paid tiers, though we will not retroactively reduce a paid feature you have already purchased for the term you paid for.

3. Accounts and registration

Some features — including paid licenses — require an account. When you register, you agree to provide accurate, current, and complete information, and to keep it up to date.

  • You are responsible for safeguarding your account credentials and for any activity that occurs under your account.
  • You agree to notify us promptly at hello@gaugereel.net if you suspect any unauthorized use of your account.
  • You may not share, sell, or transfer your account, and you may not use anyone else's account without permission.

4. License to use the software

Subject to these Terms and your applicable tier, GaugeReel grants you a limited, non-exclusive, non-transferable, revocable license to install and use the GaugeReel desktop application for creating overlays from your own content.

This section is only a summary. The full software license, including the complete terms of the end-user license agreement (EULA), is set out in our Licensing page, which is incorporated into these Terms by reference. If there is any conflict between this summary and the Licensing page regarding the software license, the Licensing page controls.

5. Your content and footage

You retain all rights to your footage, telemetry data, and the overlay videos you export with GaugeReel. GaugeReel claims no ownership of your inputs or your outputs.

  • The desktop application processes your media and telemetry locally on your own device. GaugeReel does not access, upload, or store your locally-processed footage or telemetry as part of the overlay-generation process.
  • You are solely responsible for the content you process, including ensuring you have the rights and permissions necessary to use it.

The account and licensing service does process limited account and billing data needed to operate it — for example, your email address and license status — as described in any applicable privacy notice.

6. Acceptable use

When using GaugeReel, you agree that you will not:

  • use the service for any unlawful purpose or in violation of any applicable law;
  • reverse engineer, decompile, or disassemble the application, except to the limited extent that applicable law expressly permits despite this restriction;
  • resell, rent, sublicense, or otherwise redistribute the application, your license, or any license keys;
  • circumvent, disable, or attempt to bypass any licensing, tier, or access-control mechanism, including any boundary between the free and paid tiers;
  • interfere with, overload, or abuse the account and licensing service, or attempt to gain unauthorized access to it or to other users' accounts; or
  • use the service to create or distribute content that infringes the rights of others or that is unlawful, defamatory, or harmful.

7. Intellectual property

The GaugeReel application, the GaugeReel name and brand, the website, and all related content, software, designs, and documentation are owned by GaugeReel or its licensors and are protected by intellectual property laws. Except for the limited license granted in these Terms and in the Licensing page, no rights are granted to you.

As stated above, you own the overlays and other outputs you create with the application. Nothing in these Terms transfers ownership of your content to us.

8. Paid plans and billing

GaugeReel offers a free tier and a paid Pro tier. Details of each plan are on our pricing page.

  • By purchasing a paid plan or license, you authorize us and our payment processor to charge the applicable fees using your chosen payment method.
  • For subscriptions, you authorize recurring charges for each billing period until you cancel, in accordance with the plan you selected.
  • Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable sales, use, value-added, or similar taxes.

Refunds, where available, are governed by our Refund Policy. Please review it before purchasing, as it explains our practices regarding refunds and sales.

9. Third-party services and content

GaugeReel works with files and metadata created by third-party hardware and software — including GPX tools, Garmin FIT files, and GoPro, DJI, and Insta360 camera formats — and relies on third-party services such as a payment processor for billing and a content delivery network for downloads.

We do not control these third parties and are not responsible for the accuracy, availability, or behavior of their formats, products, or services. Your use of a third party's product or service may be subject to that third party's own terms.

10. Disclaimer of warranties

To the fullest extent permitted by law, GaugeReel and the service are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or secure, or that the overlays, telemetry values, or data the application produces will be accurate, complete, or suitable for any particular use. You are responsible for reviewing your exported overlays before relying on or publishing them.

11. Limitation of liability

To the fullest extent permitted by law, GaugeReel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the service will not exceed the greater of the amount you paid to GaugeReel in the twelve months before the event giving rise to the claim, or USD 50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless GaugeReel and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your content, your use of the service, or your violation of these Terms or of any applicable law or third-party right.

13. Termination

You may stop using GaugeReel at any time and may close your account by contacting us. We may suspend or terminate your access to the service or your account if you breach these Terms, if required by law, or if we discontinue the service.

On termination, your license to use the application ends and you must stop using it. The following sections survive termination: Your content and footage, Intellectual property, Disclaimer of warranties, Limitation of liability, Indemnification, and Governing law and disputes. Termination does not entitle you to a refund except as provided in the Refund Policy.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice through the website or your account. Your continued use of GaugeReel after the changes take effect constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. The courts located in New York, United States, will have jurisdiction over any dispute that is not otherwise resolved, to the extent permitted by applicable law.

Before filing any formal claim, you agree to first contact us at hello@gaugereel.net so we can try to resolve the matter informally. We will make a good-faith effort to do the same.
